1. The Online Meeting of the Governing Board, Grace Mountainside Church was
called to Order by Jeanette DeGroot, Chairperson, Sunday, October 23, 2005.
The Online Meeting will be conducted October 23 ~ November 6, 2005.
Adjournment date (last day to receive and count votes): Sunday, November 6, 2005
Vote "for" or "against" each Resolution when the "Call for Votes" is posted on "Status"
Votes not received from a Governing Board member will be counted "abstain".
Unique to this "on-line" meeting will be the face-to-face meeting October 23.
Resolutions may be discussed, changed and voted upon during the October 23 meeting
if voting quorum is present.
Newly elected members of the 2006 Governing Board have been granted seat and
voice, but in compliance with the By-Laws no vote.

2. Opening Prayer: Rev. Steve Holcomb after worship service October 23, 2005

3. Minutes of last meeting (sorry, not available). These are the Resolutions passed:

RESOLUTION 2005-11 (Nick Nichols)
Whereas the Governing Board approved and authorized repairs to the Thrift Store
entrance in Resolution 2005-10;
And whereas a sturdy concrete ramp with handrails, attractive gateway fencing, and
a planter were designed and made that not only greatly enhances the entrace safety but
considerably improves the entrance appearance with results that exceeded all expectations;
And whereas not only our congregation but our tenant is very pleased with the results;
Be it therefore resolved by the Governing Board of Grace Mountainside Church to
communicate our sincere appreciation to Mr. Nick Nichols for his leadership, design,
execution and dedication that led to timely completion of the Thrift Store entrance with
most admirable and pleasing results.

RESOLUTION 2005-12 (Thrift Store Rent)
Whereas the first floor rental shop has incurred increases in property tax and insurance
liability that have been absorbed by Grace Mountainside Church;
And whereas maintenance expenses (plumbing) and property improvements (entrance)
have also been absorbed by Grace Mountainside Church;
And whereas our lease requires notification of change in rent at least thirty days in advance
of the annual renewal date in October;
And whereas during their three year occupancy our Thrift Store tenant has not had an
increase in rent to offset our expenses;
Be it therefore resolved by the Governiong Board of Grace Mountainside Church to
raise the rent of the first floor shop to $250.00 per month.

RESOLUTION 2005-13 (Flooring)
Whereas the tile flooring in the fellowship room, kitchen, bathrooms and small room
have become worn (in one place, torn) and difficult to clean;
And whereas Mr. Mike Kelley has graciously offered to purchase floor covering at
his cost and donate his installation labor;
Be it therefore resolved by the Governing Board of Grace Mountainside Church to
direct the Property Committee to determine the need for floor replacement, the cost
to replace the floor and to discuss with Mr. Mike Kelley his ideas to replace the flooring
and report its findings and recommendations to the Governing Board before or on its
next meeting.

A. Report on Foyer Groups: There was not a lot interest or enthusiasm to
organize or implement organized visitation this summer.

B. Report on Resolution 2005-08 ("Illuminations" - Introduction for Lessons):
"Illuminations" have been printed on the back of bulletins and lectors are
reading them to the congregation before the Lesson is read. They have been
in use for about six months. We have established a one year trial use period
before we evaluate their continued use. So far, all comments have been quite
positive. Thank you Dudley and Jeanette for purchasing them. The attribute
"given to the Glory of God in memory of Norma Hilton by Dudley and Jeanette
DeGroot" appears on the back of the bulletin.

C. Report on Resolution 2005-09 (Good Samaritan Outreach Evaluation and Support):
Good Sam has not generated a report of their outreach evaluation. Emily met with a
representative of Thompson Children Services. Netta McFadden, representing
Families First made a presentation to the Wednesday Prayer and Bible Study Group.
Several individuals volunteered to be part of a faith team for Families First. Donation
to Hope for Families has been increased. Good Sam is bracing for demands from
families and individuals needing assistance with home heating oil bills this coming
winter. The Resolution called for us to "participate in the evaluation and assessment
of the future needs in Graham County and the role Grace Mountainside Church
through the Good Samaritan Committee should take, and
to pledge financial support to the Good Samaritan Committee in consideration
of the results of the evaluation and assessment and decisions resulting therefrom."

The results of the evaluation and assessment have not been completed and
its findings and needs (to date) made known.

STATUS: NOT ACCOMPLISHED.

Comments: The Good Samaritan Committee was not aware that they were to make
a report of their evaluation to the Governing Board. A report would be welcomed to
draft a Resolution.


D. Report on Resolution 2005-11 (Nick Nichols)
The resolution was read and presented to Nick Nichols after worship and
enthusiastically applauded by the assembled congregation.

Comment from Bev: we should sell tickets for the birdhouse raffle along with
other fund-raisers we have for Relay for Life.


E. Report on Resolution 2005-12 (Thrift Store Rental)
Notice of the increase in rent from $225 to $250 per month was NOT
sent to Fr. Michael Kottar, Prince of Peace Catholic Church. News that
they were considering closing The Thrift Store permanently caused us to
reconsider sending the notice of increase in rent. On October 5, 2005, Steve
received written notice in the mail from Fr. Kottar stating the Thrift Store would
close after business Oct. 19 and would be vacated by Oct. 31 because they were
experiencing a lack of volunteers to keep the store open.

On October 20, Mr. Bob Peas talked to Steve and promised that Prince
of Peace would donate ten (10) florescent light fixtures, stained interior doors and
mirrors in bathroom and on wall in shop to Grace Mountainside Church.
They would leave the two window air-conditioners and propane heater to
offer for sale to our next leasee and remove if leasee declined to purchase.

make a new Resolution to set up a committee to determine the amount of funds

6. NEW BUSINESS:

A. Resolution 2005-14 (New Church Organ)

Whereas, music is a vital to both our Lutheran and Episcopal worship liturgies.

And whereas, our Clavinova keyboard, that has served us well over the years,
because of its very limited voices and range, was not intended to become
the primary instrument to lead and accompany our congregational singing (but
gradually assumed that role as the former instrument developed mechanical
problems too expensive to repair).

And whereas, the Baldwin Funmachine Organ (a gift from Liz Manierre) has
developed some electrical problems associated with its age (some "snaps"
and "pops" caused by worn contacts and a tendency to overheat before the
end of the worship service causing certain stops to sound weakly if at all).

And whereas, the Congregation of Grace Mountainside Church resolved at
its Annual Meeting, September 18, 2005, to authorize up to $12,000 for the
purchase of a church organ.

And whereas, after contacting over 40 sellers advertising new church organs and
pre-owned church organs; travelling many miles and "test playing" instruments;
careful reading of every letter, catalogue or email; listening to manufacturer tapes
and CD's generously sent; weighing every suggestion and advice received;
deliberate discussion of positives and negatives of every offer; and a long period
of prayerful consideration Steve and IdaMae were ready to make a request at a
specially called Governing Board meeting October 2, 2005, for permission to
make a down payment on a church organ they had found.

And whereas, factors Steve and IdaMae considered were price offer within/under
budget; sound of the church organ; voices/instrumentation/variety/features of the
instrument; quality of the instrument; age and life expectancy of the instrument;
playability as determined by our organist; ease of access/use of features as
determined by our organist; reliability of manufacturer; willingness of the seller to
understand, compromise and adjust to meet our needs and situation; availability
of nearby service; availability of parts; warranty if any; expandability of the instrument;
delivery/shipment costs if any; set-up; recommendations by trusted church organists
with small church/small instrument experience; and proximity and reputation
(if determinable) of seller.

And whereas, the Governing Board at its specially called meeting Oct 2 authorized
Steve and IdaMae to make a down payment on the church organ they had found if,
after test playing, it was as advertised and represented.

And whereas, the negotiated price for the church organ represents a substantial
mark down from both list and normal asking price (and is considerably less than offers
received for the same instrument new) and includes complete warranty, free
delivery and set-up in our sanctuary, and removal of the Baldwin Funmachine
accepted as a "trade-in".

And whereas, the Rev. Steve Holcomb and Mrs. Linda Holcomb have donated
and paid the initial down payment of $1000 for Grace Mountainside Church to
purchase the new church organ.

Therefore be it resolved by the Governing Board of Grace Mountainside Church
to accept an offer negotiated from Rose Music Company, Knoxville, Tennessee and to
affirm the purchase of a new Rodgers Model 537 Church Organ delivered and set-up
in the sanctuary on Wednesday, October 12, 2005, for the remaining sum of $9,000.

Preface:
Whereas the Miller family members have for many years been good and positive
contributors to the life of our Grace Mountainside family,
And whereas we view their leaving with sadness but also have high hopes for the
blessings of happy, healthy, and productive futures for each of them in their new homes
and the endeavors they pursue
Be it therefore resolved, we, the members of the Governing Board with the members of
Grace Mountainside Church, commend them and wish them godspeed.

B. Resolution 2005-15 (Reid Miller)
Whereas, Reid Miller has enriched our worship by sharing her talent as church musician
faithfully for many years,
And whereas Reid published the weekly church service bulletin for many years,
And whereas her lovely demeanor and dignity have added to the warmth as well as
beauty of our services and fellowship
And whereas her example and tutelage have encouraged the participation of all her
children in enlivening and further enhancing the quality of our shared church life,
Be it therefore resolved by the Governing Board of Grace Mountainside Church to
commend our gratitude to Reid and wish her godspeed until we meet again.

C. Resolution 2005-16 (Patrick Miller)
Whereas Patrick Miller has served faithfully as acolyte through many years during
which he greatly grew in stature to neatly and reverently command the cross in opening
our weekly worship, in wisdom in the ways of candle-lighting and offering collecting,
and certainly in favor of God and mankind in his readings for us, (never forgetting the
swell of righteous pride we felt when he won unanimous praise and all hearts at the
All Souls Episcopal Cathedral in Asheville),
And whereas our church family has enjoyed immensely seeing bright prospects realized
in watching his growing up years
Therefore be it resolved by the Governing Board of Grace Mountainside Church that we
commend with thankful hearts Patrick, wish him all good things in life, assure him that we
long to see him again, and that we look forward to that time.

D. Resolution 2005-17 (Amanda Miller)
Whereas Amanda Miller has served for the most part as the female component of our youth
group from her early years to terrific teen and promising adult
And whereas she has moved through these stages while ever increasing her participation in and
contribution to our worship services from reciting all the books of the Bible to performing
solos during our Offertory
And whereas she further enhanced our worship serving as acolyte and lector
And whereas she is the embodiment of the "sunbeam" of the old Sunday School song and
a constant light in our congregation,
Therefore be it resolved by the Governing Board of Grace Mountainside Church to commend
in sincere appreciation Amanda for all her gifts to us, to assure her we long to see her again,
and that we look forward to our reunion.

E. Resolution 2005-18 (Bebo Miller)
Whereas Bebo Miller has served Grace Mountainside faithfully for many years including terms
as Governing Board Member and Chairman,
And whereas his service is forever set in concrete in our sturdy and well designed patio/parking
setting which has accommodated throngs of citizens at our sales events benefitting the Good
Samaritan Fund, our congregation for events from fish fry festivities to the fellowship we shared
after the institution of Steve Holcomb as priest which impressed two bishops and a covey of clergy
and a goodly slice of the community,
And whereas the handicap ramp has enabled access to and participation in our worship by
numerous individuals,
Therefore be it resolved by the Governing Board of Grace Mountainside Church to commend
Bebo for his contributions to our community and to express our sincere gratitude.

Comments: Jeanette & Dudley: Res. 2005-15,16,17,18. Well, Jeanette approves
all these, despite the rather breezy style of the author.

In consideration that Mr. Mike Kelley will be having serious back surgery November 3
that will probably delay start of this project until April, 2006;
And in consideration that there is considerable uncertainty that the tile flooring needs
complete replacement rather than individually damaged tile removal and repair;
And in consideration that members of the Governing Board desire more time to
discuss this with members of the congregation;
Motion was made and seconded to TABLE Resolution 2005-19 (Flooring) for
consideration by the Board at a future date.

G. Resolution 2005-20 (Escrow)

Whereas, Grace Mountainside Church is blessed to have funds invested in interest
bearing accounts.

And whereas, the funds invested in these accounts are undesignated but generally
considered available for anticipated capital improvements and unanticipated major
contingencies even though no written guidelines or policy for expenditure of these
funds have been established.

And whereas, it is deemed prudent to establish written guidelines or policy that
designate intent and amount of expenditure from these funds to relieve the burden
of anticipated future expenditures (i.e., for roof replacement, heating/air conditioning,
windows) and unanticipated contingencies (i.e., fire damage, storm damage).

Therefore be it resolved, by the Governing Board of Grace Mountainside Church that
the Finance Committee and the Property Committee meet to determine our future
anticipated expenditures and reserves for unanticipated contingencies and submit a
joint report of their findings to the Governing Board by November 13, 2005.

Be it further resolved, by the Governing Board of Grace Mountainside Church that
the joint report of the Finance Committee and Property Committee include
(A) a recommendation favoring establishment of written guidelines for the
expenditure from these funds with suggested intent and amount designated for
anticipated future expenditures and amount held in reserve for unanticipated contingencies
or
(B) a recommendation against establishment of such written guideline or policy.

Comments: 2005- 20 Escrow. Jeanette and Dudley see merit in Bev's proposal.
She has her thinking cap on.

H. Resolution 2005-21 (Thrift Store)

Whereas, The Rev. Michael Kottar, Prince of Peace Catholic Church, Robbinsville, has submitted written official notice that the Thrift Store will be closed after business October 19, 2005 and the premises will be vacated by October 31, 2005, citing lack of volunteers required for continued operation of the Thrift Store;

And whereas, The Rev. Steve Holcomb has received the following inquiries from individuals seeking to sign a one year lease to rent our basement space:

1. Anne Longbrake, who with volunteers from other churches, wants to operate a thrift store type business two days a week and rent the basement from Grace Mountainside Church. She plans for the proceeds to go to meet needs in Graham County - a portion may go to Good Sam. She is investigating how to best accomplish this goal (i.e., be a subcommittee of Good Sam or be a separate, independent nonprofit entity.) Anne has submitted more information on her proposal for consideration at the face-to-face meeting Oct. 23. (And is published following this Resolution as a Memorandum of Understanding.)

2. Hope for Families, Graham County's Domestic Violence and Sexual Assault Shelter, successfully operates a large thrift store selling clothes, furniture and appliances. They are interested in renting our space to open a second thrift shop. Their thrift store would be open most business days and has a paid manager in addition to volunteers/part-time staff. The Hope for Families Board must first approve before they contract the lease. Hope for Families is not familiar with the property. However, they do provide a ministry to the community and proceeds go to benefit the shelter clients.

3. Family Resources is looking for a place to rent. Our basement is twice the size where they are now. They serve very young children daily. Because of their clients, safety and liability are concerns we probably do not want to assume. At this time, only verbal inquiry has been made, no one from them has looked at the premises.

4. A counseling group has looked at the premises. Construction of a simple wall would create four offices and a waiting area. They liked the monthly rent and the location, but not the aged premises and the remodelling expenses that will be required. They are still looking at rental properties and "crunching numbers".

5. I had a phone call from someone who used to run a crafts shop who wanted to look at our rental property. They missed the appointment and have not called me back.

Be it therefore resolved by the Governing Board of Grace Mountainside Church to contract a one year standard business lease to Anne Longbrake for $3,000 payable in equal installments $250.00 per month.

COMMENTS:

1.a. From Jeanette & Dudley: We are interested in Anne L's proposal for the thrift shop,
particularly if she has the outside help she will need. Her idea seems to fit very
well with the outreach efforts we espouse. And wouldn't this simplify and amplify
our flea market (or whatever we call it) effort in early summer and/or other time/s
of the year? Sounds to me like we could assemble and present wares more easily
and not worry so much about weather, only using our patio space if weather and
business opportunities shine down upon us. J

1.b.Jeanette & Dudley:Res. 2005-21: Thrift shop. As I said in an earlier note,
I am interested in Anne's proposal if you can work out the "member of the congregation"
factor. We did it before, why not again. Her dedication is apparent in the
groundwork and prayer evident. Dudley concurs.

2. Anne promised to make the shop, that she is considering to name "Church Mouse"
available to members of Good Sam when they are sponsoring sales.

Anne understands that the lease will be contracted to her personally and not to
an entity or subcommittee of Good Sam.

Memorandum of Understanding Anne's Proposal:
Friday, October 14, 2005

I am writing to you because I want to be put on the agenda for the next Church Council meeting. I don't know how much of this you know, but the Catholics are vacating the Thrift Center in the lower part of our church at the end of this month. I would like to rent it at whatever rent is asked. I want to do a variation of what they have been doing all along. I hope to get bigger donations like furniture and appliances, but basically the same thing. This would be another Thrift Center with no proceeds going to me, but to charity.

I have been praying about this matter for about 3 years. I used to work down there as a volunteer, and when we got Colton I had to stop. I thought the thing would fold long before it did, simply because they did not have enough people to run it. It is an absolutely wonderful ministry. These people need not only cheap (or free) clothing, they need love and they need to be encouraged and witnessed to. Sometimes they need directing to one agency or another (DSS, food stamps, mental health, etc.) Many of the people are new in town, and now there is a large Mexican group that needs to be encouraged to go to church. Most of them don't speak English yet, so it makes it a little interesting sometimes.

I have been praying along these lines, "God, I can do this, and I can do a good job of it. If it is the best thing, please let it happen. If it is not, then block it. I want to do what YOU want me to do, and help the community if I can."

I have tried to deal with Father Kottar on this matter. I made him a cash offer for a turn key operation. He did not even reply. Some of the Ladies at church, Steve, and I have discussed this on 2 occasions. We talked about how to structure the thing. My first choice would be for it to be an arm of Good Sam and be sponsored by our church. We discussed and discussed. Really, our church has fewer ladies that the Catholics. Then we talked about how to do a seperate entity. I have given this a great deal of thought and I believe the only way to get enough volunteers to make it work is if we look to the community to others who are as concerned about poverty as we are. I have an apt with my CPA next week to see how to go about getting a tax exempt -non profit status.(OH, MY GOODNESS, I WILL CALL MERLE...WHERE IS MY BRAIN?? I will do that today!! ) Things should be done properly so if the community wants to know, everything will be legal and above board.

I have talked at great length, to a friend named Dot Beasley. Dot ran the Catholic operation all the while it was on Tallulah, and for a while after they moved to our church. The Catholics got a new priest during this move and the new priest began to put the earnings from the Thrift Store into the church coffers and not into charity any more. Dot said that she wanted to work for charity, not the Catholic Church (she is Baptist) and so she stopped working there. It was about the same time as we got Colton and so she and I stopped working there at about the same time. Dot is as enthusiastic as I am about the endeavor that I am proposing, and will do as much work as I will. She has every expertise that is needed. She knows that I want to reach out more and she is happy with that.

I will be sending you a copy of my request as soon as I can talk to accountant and get my act together, but basically:
1. Sell items at a low price to indigent
2. Take monies and donate to indigent using the same critera that we use in Good Sam
3. Enlarge the scope by cooperating with agencies such as DSS, Mental Health, Health Dept, etc. We do some of this already, but I want to speak to the Lions Club, the 2 ladies clubs, the garden club, etc. People will need to know we are there and what we are trying to do. The sherrif, too, and as many of the other churches as possible.
4. All the monies stay in Graham County

UPDATE: October 20, 2005
As you know, I want to rent the Church basement as soon as the property is vacated by the present tenants (Nov, 1). I will be at the Board meeting on Oct 23, to ask in person.

I want to create an entity which will be legal under the non-profit laws. I have spoken Merle Henry, CPA, and he has advised me what is necessary to accomplish this. He also thinks it should be a corporation. I will follow his direction and he has said that he will help me in this process.

The entity would raise money for indigent needs in Graham County. The main source of income would be a thrift shop to be run much like the present tenant is doing. We will have other fund raisers too. The money would be dispersed in the same way that Emily Hohenschutz does our Good Sam monies. Emily has criteria, written rules, and a filing system that she uses and it quite effective. We would probably copy her methods exactly at first and then adjust them if we need to.

I have contacted Dot Beasley, a former manager of the Catholic Thrift store. She is as enthusiastic as I am about the project. Dot and I work well together and have the same goals in mind. We will do this as a team. We have contacted a number of people about being volunteers and board members, and the response has been extremely positive. We know now that there will be enough people to help us.

I have been praying about this for several years. I know we can do wonderful ministry and we will if it is what God wants.

I will personally guarantee the rent each month.

I. Resolution 2005-22 (Five-Year & Ten-Year Plans)

Whereas, our Mission Statement is "Grace Mountainside Church is one congregation related to both the Episcopal Diocese of Western North Carolina and the North Carolina Synod of the Evangelical Lutheran Church in America. We have come together, not to mingle or confuse our traditions but to express our community in our Lord Jesus Christ and to be more effective in the mission of His Church in Robbinsville, Graham County, North Carolina and around the world."

And whereas, periodic self-evaluations are desirable to determine how we may be more effective in our mission and ministry;

And whereas, formulating a vision and establishment of goals within a fixed time frame would encourage responsible management of resources and fiscal planning to meet anticipated requirements;

And whereas, the future is not completely knowable, but preparing for those changes and contingencies that can be reasonably predicted is responsible stewardship;

And whereas, an announcement to the people assembled at the Annual Congregational Meeting, September 18, 2005, was made and receiving no objection is, therefore, considered accepted with the congregation's consent;

Be it therefore resolved by the Governing Board of Grace Mountainside Church to entrust to the duly elected 2006 Governing Board the responsibility to
(1.) evaluate the effectiveness of the mission and ministry of Grace Mountainside Church and
(2.) from the findings and conclusions of that evaluation formulate a vision and
(3.) develop, communicate, and implement a Five-Year Plan and a Ten-Year Plan that should enable realization of that vision in hopes that responsible execution of the plans will

(a.) improve the effectiveness of the mission and ministry of Grace Mountainside Church,
(b.) inaugurate management of personnel and fiscal resources to best meet the articulated goals and
(c.) prepare for reasonably predictable future changes and contingencies.
